The binding agreement governing your venue's access to the Binko platform, Venue Admin Portal, and all associated features.
Independent Parties
The Venue and the Company are independent contracting parties. Nothing in these Venue Terms creates any partnership, joint venture, agency, franchise, employment, or fiduciary relationship between the Company and the Venue.
Platform Only
The Company's sole role is to provide a technology platform that enables Binko Users to discover the Venue, check in, and access Offers the Venue has chosen to make available. The Company does not direct, supervise, or control the Venue's operations, staff, or service delivery.
Not a Party to Venue-User Transactions
Any commercial transaction between the Venue and a Binko User — including the redemption of an Offer, the purchase of food or beverages, or any other exchange — is strictly between the Venue and the User. The Company is not a party to any such transaction.
Subscription Plans
Access to the Venue Admin Portal and associated Platform features is conditional on the Venue holding a valid, current Subscription. Subscription plans, pricing, and feature inclusions are as communicated by the Company to the Venue at the time of onboarding.
Payment
Subscription Fees are payable in advance in Indian Rupees for the period specified in the applicable plan. Fees are non-refundable except as expressly stated in these Venue Terms or as required by applicable law. All Subscription Fees are exclusive of GST unless expressly stated.
Suspension for Non-Payment
If a Subscription Fee is not paid by the due date, the Company reserves the right to suspend or downgrade the Venue's access to the Venue Admin Portal and Platform features without notice.
Changes to Fees
The Company reserves the right to change Subscription Fee structures by giving the Venue at least 14 (fourteen) days' written notice. Continued use of the Platform after the effective date of a fee change constitutes the Venue's acceptance of the revised fees.
No Guaranteed Footfall or Results
The Subscription Fee is solely for access to the Platform and its features. The Company makes no representation, warranty, or guarantee regarding the number of Binko Users who will visit, check in, or redeem Offers at the Venue.
Authorised Access Only
The Venue Admin Portal is accessible only to individuals authorised by the Venue and registered by the Company as Venue Admins. The Venue is responsible for ensuring that only authorised personnel are permitted access.
Credential Security
The Venue is responsible for maintaining the confidentiality of all login credentials associated with its Venue Admin account. The Company is not liable for any loss or damage arising from unauthorised access to the Venue Admin Portal resulting from the Venue's failure to protect its credentials.
Scope of Access
A Venue Admin account is scoped exclusively to the Venue's own data. It cannot access data belonging to any other venue. Any attempt to access another venue's data is a material breach of these Venue Terms.
Venue's Sole Responsibility
All Offers displayed on the Platform in connection with the Venue are created, controlled, and fulfilled entirely by the Venue. The Company has no role in the creation, funding, delivery, or enforcement of any Offer.
Accuracy of Offers
The Venue is solely responsible for ensuring that all Offer information displayed on the Platform — including the nature of the Offer, its terms, conditions, availability, and limitations — is accurate, lawful, and not misleading.
Venue's Final Authority on Redemption
The Venue has absolute and final authority over whether any Offer is honoured at the time of redemption. The Venue may decline to honour an Offer for any reason, including the Offer being out of stock or the Venue's reasonable suspicion of fraudulent redemption.
Prohibited Offers
The Venue must not create Offers that are unlawful, misleading, or in breach of the Consumer Protection Act, 2019 or any applicable Indian law; relate to tobacco or tobacco products; or are intended to deceive Users.
The Venue is solely and exclusively responsible for compliance with all laws, regulations, and licencing requirements governing the sale, service, and promotion of alcoholic beverages at its establishment.
Age Verification Is Venue's Non-Delegable Duty
The minimum legal drinking age varies by state in India and may be higher than 18. The Company does not verify the drinking-age eligibility of Users for the purpose of alcohol Offers. This responsibility lies entirely with the Venue.
Company Bears Zero Liability for Alcohol Compliance
The Company accepts absolutely no liability for the service of alcohol to an underage individual at the Venue; any breach by the Venue of its liquor licence or excise regulations; or any penalty, fine, prosecution, or licence action taken against the Venue in connection with alcohol service. The Venue agrees to indemnify and hold harmless the Company from any such claims.
Venue as On-Ground Authority
Within its physical premises, the Venue is the authority responsible for the safety, order, and wellbeing of all persons present, including Binko Users. The Company has no physical presence at the Venue and cannot supervise, intervene, or respond to in-venue incidents.
Kick and Report Powers
The Venue Admin Portal grants Venue Admins the ability to forcibly check out ("kick") a Binko User from the Platform at their venue and to file a report against that User. The Venue must exercise these powers responsibly, in good faith, and only where there is a genuine reason.
Misuse of Admin Powers
The Venue must not use the kick or report functions to discriminate against Users on the basis of gender, religion, caste, race, or any other protected characteristic. Misuse of admin powers is a material breach of these Venue Terms.
Mandatory Display Screen
The Venue shall maintain at least one dedicated display screen within its premises that is clearly visible to customers in the main area, connected to the internet and displaying the Binko Spectator View at all times during the Venue's operating hours.
Screen Uptime
The Venue Screen must display Binko content for no less than 90% of the Venue's total operating hours in any calendar month. The Venue must promptly notify the Company of any screen failure that cannot be remedied within 2 hours.
Venue's Cost and Responsibility
The Venue is solely responsible for procuring, installing, maintaining, and operating the Venue Screen and any supporting hardware and internet connectivity at the Venue's own cost.

Compliance with Data Protection Law
The Venue must comply with all applicable Indian data protection laws, including the DPDP Act, 2023. The Venue must notify the Company immediately (within 24 hours) of becoming aware of any actual or suspected unauthorised access to User data.
To the fullest extent permitted by applicable law, the Company's total aggregate liability to the Venue for all claims arising out of or in connection with these Venue Terms shall not exceed an amount equal to 3 (three) months' Subscription Fees paid by the Venue in the 12 months immediately preceding the claim.
The Company is not liable for any indirect, consequential, incidental, or punitive damages, loss of profit, loss of revenue, loss of goodwill, or loss of business opportunity arising out of or in connection with these Venue Terms.
Termination by the Company
The Company may terminate these Venue Terms immediately, without notice or refund, if the Venue materially breaches any provision of these Venue Terms; engages in conduct harmful to Users or the Platform; becomes insolvent; or regulatory or legal changes make the Company's continued relationship with the Venue unlawful.
Termination by the Venue
The Venue may terminate these Venue Terms by providing 30 (thirty) days' written notice to the Company. Subscription Fees already paid are non-refundable.
Effect of Termination
Upon termination, the Venue's listing will be removed from the Platform and Venue Admin access will be revoked. Data obligations, indemnification, and dispute resolution clauses survive termination.
Governing Law
These Venue Terms are governed by and construed in accordance with the laws of India.
Internal Grievance — Mandatory First Step
Before initiating any legal proceedings, the Venue is required to submit a written grievance to the Company at legal@binko.app and allow 30 (thirty) days for the Company to respond and attempt resolution.
Arbitration
Any dispute not resolved through the internal grievance mechanism shall, at the Company's election, be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat shall be Dewas, Madhya Pradesh. The arbitral award shall be final and binding.
By accessing the Venue Admin Portal or permitting listing on the Platform, the Venue confirms it has read, understood, and agrees to be bound by these Venue Partner Terms and Conditions.
